By opening your sealed software package, you indicate your acceptance of the following Humanities Computing Laboratory license agreement. Please treat this agreement as valuable property as it is your proof of purchase and your key to receiving technical assistance.

 WinCALIS means Computer Assisted Language Instruction System for Windows as copyrighted by the Humanities Computing Laboratory at Durham, NC USA.

• Software means the specified version of the computer program identified above and all updates to the computer program (e.g. 2.0 to 2.1). The term also includes all copies of any part of the computer program.
• Program means the WinCALIS software program.
• Product means the Software and Documentation (e.g. Manual and other printed materials accompanying the Software).
• License means this WinCALIS License Agreement.
• Full Site License means the right to provide the Program freely within the End-User institution to bona fide members of that institution or within the End-User's company to its employees, and to distribute run-time modules similarly to bona fide members of that institution or to employees of that company, without additional cost.
• Partial Site License means the right to employ at one institution or location, a limited and specific number of copies of the Program, agreed upon at one time of negotiation and licensing, and a proportionate number of run-time modules, agreed upon at the time of negotiation and licensing. The number of both Programs and run-time modules will be determined by assuming that all users elected to be permitted to use the Program are doing so at the same time.
• Use means loading the Software into RAM or installing it on a hard disk or other storage device.
• End-User means each person or party which obtained one or more Programs to use, as opposed to distribute, in accordance with the WinCALIS License Agreement.

The Product is owned by the Humanities Computing Laboratory and is protected by the laws of the state of North Carolina. You must treat the software as if it were a book (e.g. you may loan the software to someone, but you must not retain a copy for your own use if you do). Failure to adhere to the provisions of the License will result in termination of the end-user's right to the License, at which time the end-user must surrender the Product to the Humanities Computing Laboratory and destroy any copies or datasets created with the software.

In consideration of your payment of the agreed purchase price and your agreement to these terms, you are hereby licensed to the use of the software. You may:

• Copy the software to your hard disk or to memory for the purpose of creating a back-up.
• Copy the software on more than one computer provided that the computers belong to the end-user, the software is in use on only one computer at a time, and that it is never installed on more than two computers at any one time.
• Use the software on a network or multi-user system provided that it is accessed by only one user at any one time.
• Distribute free of charge or for a profit any data sets developed with WinCALIS authoring tools or language sets without being charged a license fee by the Product owner.
• Transfer the entire Product on a permanent basis to another person after written notification by the Humanities Computing Laboratory, provided that the original end-user agrees to retain no copies of the Product and the transferee agrees to the terms of this License.

You may not:

• Allow the software to be used by any other individual to the extent that the Humanities Computing Laboratory could be deprived of a further sale.
• Allow the software to be used by multiple persons without having first purchased the right to do so in the form of a partial or full site license.
• Copy or reproduce the instruction manual in any form for any reason.
• Distribute WINCALIS.EXE, which is required to run lessons, without a License from the Humanities Computing Laboratory.

The Humanities Computing Laboratory warrants that the Programs will perform substantially in accordance with the supporting documentation (i.e. information describing the format, organization, and content of machine-readable diskettes) for a period of 90 days. All other warranties, express or implied, are disclaimed. There are no warranties of merchantability or fitness for a particular purpose. Any liability for consequential damage is disclaimed.

The Humanities Computing Laboratory's sole liability and End-User's sole remedy shall be, at the Humanities Computing Laboratory's option, either to (a) return the price paid by the End-User, or (b) repair or replace the Program that does not meet Duke University's Limited Warranty, which is returned with a copy of the End-User's receipt. The End-User shall not be entitled to any benefit under the Limited Warranty if failure of the Program has resulted from accident, abuse, or misapplication. Any replacement Program will be warranted for the remainder of the original warranty period or 30 days, whichever is longer.

In no event shall the Humanities Computing Laboratory or its suppliers be liable for any damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of information, or other pecuniary loss) arising out of the use of or inability to use the Product, even if the Humanities Computing Laboratory has been advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

The software and documentation accompanying it are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1)and (2) of the Commercial Computer Software-Restricted Rights clause at FAR, 48 CFR 52.227-19, as applicable.
